PRESS CONFERENCE – HIGH WAVE DISASTER IN THE SUNDA STRAIT, OPERATIONAL OF PT PELITA SAMUDERA SHIPPING TBK IS IN CONDUSIVE SITUATION

A high wave in the Sunda Strait hit the coast of Banten and Lampung on Saturday night, December 22, 2018. The disaster has not been officially confirmed as a Tsunami like the press release issued by BMKG. The BMKG still requires to do data inspection in the affected area.

 

The operational team and HSSE of PT Pelita Samudera Shipping Tbk have checked the crew safety conditions and the entire Company fleet, safety instructions have been carried out by e-mail throughout the fleet, requested the crew to continue monitoring the waters situation in the operational area, and continue communicating with fellow crew members through navigation telex or VHF radio.

 

Until December 23, 2018 morning, Company’s operational work was conducive, there was no shipment activity to disaster affected areas. All ships including crew and ship facilities are intact and good.

 

We express our deep condolences to the victims in Lampung Region, the coast of Banten and those affected by the Disaster. May those people who live in the affected area get protection, safety and strength From the Al Mighty.

Uraian Informasi atau Fakta Material

 

 

 

Pada tanggal 11 Desember 2018 telah dilakukan penandatanganan Akta Perjanjian Jual Beli (“Perjanjian”) dengan rincian sebagai berikut:

(i)  Objek Perjanjian: 1 (satu) unit kapal General Cargo dengan nama MV. Maritime Fidelity buatan tahun 2010, 32,000 DWT bulk carrier dengan GT/NT 19,724/10,849.

(ii) Para Pihak:

–       Penjual: Gratitude Navigation Co Pte Ltd of Singapore

–       Pembeli: PT Pelita Samudera Shipping

(iii)  Nilai Jual Beli : USD 9,400,000.-

(iv)  Cara Pembayaran:

–       Pembayaran dimuka sebesar 10%

–       Pelunasan sebesar 90% setelah Delivery

(v)  Sumber pendanaan untuk beli asset:

100% Menggunakan Kas Perseroan

(vi) Tujuan dilakukan pembelian kapal General Cargo untuk meningkatkan kinerja Perseroan dan menambah pendapatan usaha Perseroan.

(vii)  Bukan Transaksi Afiliasi

(viii) Tidak mengandung Benturan Kepentingan

(ix)   Bukan Transaksi bernilai Material

Karena nilai total pembelian aset dibawah 20% dari ekuitas Perseroan maka sesuai ketentuan angka 1 huruf a Peraturan Bapepam dan LK No IX.E.2 Lampiran Keputusan Ketua Bapepam  No kep-614/BL/2011 tanggal 28 November 2011 tentang Transaksi Material dan Perubahan Kegiatan Usaha Utama, Transaksi ini bukan merupakan transaksi material yang diwajibkan untuk memperoleh persetujuan RUPS.

  • Total loan facilities amounted up to US$12 million
  • Set to add 1 unit of Tugboat and 1 unit of Handymax Class Mother Vessel as part of continued fleet expansion

  

JAKARTA, DECEMBER 5, 2018

 

PT Pelita Samudera Shipping Tbk (“The Company”, “PSS”, IDX code: PSSI) has concluded an Extraordinarry General Shareholder Meeting (“EGMS”) today on the Financial Club, Graha CIMB Niaga, Jakarta.

In the EGMS, majority shareholders approved the Company’s plan to seek Short-term Bank Loan and Contingent Facilities.

PSS plans to raise bank loan consisted of up to US$10 million for short-term loan facility and up to US$2 million for contingent facility from Citibank N.A. Indonesia.

These loan facilities have no collateral; hence reflecting financial institution’s high level of trust and confidence on the Company’s business prospect.

PSS will use this loan for its short-term financing needs, as part of the Company’s continued fleet expansion plan.

On December 2018, PSS plans to add 1 unit of Tugboat and 1 unit of Handymax Class Mother Vessel, entirely funded by the Company’s internal cash. 

On the right track

With this additional fleet, PSS is on the right track to strengthen its positioning, aligned with the Company’s vision and mission of becoming the best logistics provider in Southeast Asia region.

PSS is targeting FY 2019 Revenue to grow between 25% to 30% with Core Net Profit Margin around 10% to 12%.

During 2018, thanks to the Company’s strong operation cash flow, PSS managed to distribute cash dividends two times namely Final FY 2017 Cash Dividend and Interim FY 2018 Cash Dividend; hence, PSS has distributed total cash dividends of about Rp50.3 billion or Rp10 per share.

Going forward, continued fleet expansion to serve larger customer base combined with operational excellence and healthy financial positions will put PSS on the right track to create higher added value to its shareholders.

The Company is committed to implementing good principles of Good Corporate Governance (GCG) in order to achieve the company’s vision and mission as an integrated and innovative logistics service provider. One practice of commitment to implementing good corporate governance practices, the Company has compiled and implemented GCG guidelines which are the crystallization of applicable laws and regulations.

The Company through the Corporate Secretary Division has held a socialization of several company policies namely Whistleblowing System, Gratification, Risk Management, Corporate Governance Policy, and Emergency Response Procedure or Incident Management Plan Procedure as one of the initiative to achieve company vision and mission.

The implementation of this activity provides an understanding of the established Policy Guidelines and encourages all employees to make decisions and carry out actions based on GCG principles, namely Transparency, Accountability, Responsibility, Independent, and Fairness.

 

The socialization of the development and implementation of GCG was carried out in all of the Company’s work areas followed by all employees which began in Banjarbaru on October 25, 2018, in Jakarta October 31, 2018 and Samarinda on November 15, 2018. The socialization objective is to increase business success and accountability in increasing company value in performance productivity and good corporate image.

DONATION FOR EARTHQUAKE AND TSUNAMI VICTIMS IN PALU AND DONGGALA

PT Pelita Samudera Shipping Tbk provided donations for victims of the earthquake and tsunami in Palu and Donggala, Central Sulawesi with total amount Rp. 75,000,000. Donations are distributed through the Plan International Indonesia Foundation and APBI (Indonesian Coal Mining Association)

Some of the funds were donated through the Plan International Indonesia Foundation which was submitted directly by Setya Rahadi, Director and Imelda Agustina Kiagoes, Corporate Secretary to Linda Sukandar Fundraising Director of Plan International Indonesia Foundation on 1 November 2018. As a company which operates in Indonesia, PSS is obliged to help relieve the condition of the victims in the areas affected by the earthquake and tsunami. This donation is expected to support the classroom and schools infrastructure development post-earthquake in the Palu and Donggala areas.

Cash donation amount of Rp 75.000.000 (seventy five million rupiah) are distributed through the Plan International Indonesia Foundation and APBI (Indonesian Coal Mining Association).

IN COMMUNAL HALL SWECAPURA KLUNGKUNG, BALI

In the employee outing event of PT Pelita Samudera Shipping Tbk (PT PSS Tbk) in Bali which was conducted on 08 – 10 December 2017, PT PSS Tbk Management organized corporate social responsibility activity by visiting and cash donating to the refugees of mount Agung volcanic eruption. The donation activity theme “We care” has previously collected contribution voluntarily from internal employees, donation from the Company and PT Pelita Samudera Shipping Tbk’s network.

The management who represented the activity were Mr. Berty Ekel – Commissioner, Mr. Harry Tjhen – Director of Operation and Commercial, Mrs. Imelda Kiagoes – Corporate Secretary, Mrs. Maria Brigita Winardi – Senior Manager of Finance, Mr. Hon Kiong – Head of Procurement and Mrs. Desi Safitri – Corporate Communication. The representatives handed over the cash donation amount of Rp 50.000.000,- (fifty million rupiahs), was received by Mr. Suade, Coordinator of BPBD (Regional Disaster Management) and Mr. Nengah Darmawan as the General Coordinator of refugees post.

In addition to providing assistance, management had interactive session with refugees, they have been in the communal hall for the past 3 months. Meanwhile, according to Nengah Darmawan, the availability of logistics, especially rice, the daily consumption needs around 2 tons for Klungkung, the area only within 2 – 3 kilometer from mount Agung, although the availability of rice stock as of December 10, 2017 remains 6 tons, “At this time the refugee situation is hit by high stress level, if there are donors who want to donate, we hope besides the needs of coffee, tea, rice and milk for children, can contribute entertainment to reduce stress “said Nengah Darmawan. The number of refugees in Klungkung Regency is approximately 10.657 people as per December 10, 2017 spread in 45 refugee posts. Management had the opportunity to visit the logistics supplies from tents which was built by local social department. A public kitchen tent was set up to accommodate volunteers while cooking for the daily needs of refugees.
The donation is still open and will gradually be distributed to the refugees, hope all the donation can meet refugee’s needs.
